These Terms of Service (“Terms”) constitute a legally binding agreement between Wizmatic Consulting Pvt Ltd (“Wizmatic,” “we,” “our,” or “us”) and you (“user” or “subscriber”). By using our platform, you agree to comply with these Terms. If you do not agree, please refrain from using the platform.

1. Scope of Services

These Terms govern your use of the Wizmatic Intelligence Network (WIN), including our website, reports, APIs, and other services (“Platform”).

2. User Responsibilities

  • You must have proper authorization if using the Platform on behalf of an organization.
  • Your account is for your use only; do not share access or credentials.
  • You agree not to copy, reproduce, sell, or distribute any Platform content.
  • You will not use the Platform in any way that is unlawful, disruptive, or damages our business.
  • Any data extracted from the Platform must not be used in a way that allows third parties to substitute it for our services.

3. Payment & Subscription

  • Fees: Subscription fees must be paid as per the invoice terms.
  • Taxes: All applicable taxes are to be borne by the user.
  • Non-Payment: Failure to pay may result in service suspension.
  • Refunds: Subscription fees are non-refundable, except in cases of incorrect payments or where required by law.

4. Data & Intellectual Property Rights

  • Wizmatic retains all rights, title, and interest in the Platform, including intellectual property rights.
  • Users may not remove or obscure any proprietary notices.
  • Use of our trademark, logo, or branding requires written permission.

5. Acceptable Use

  • No unauthorized data extraction: Scraping, crawling, or automated data collection is strictly prohibited unless explicitly permitted via APIs.
  • No resale or redistribution: Data from the Platform is for internal business use only.
  • No disruption: You shall not interfere with the functionality of the Platform.

6. Disclaimers & Limitation of Liability

  • The Platform is provided “as is” without warranties of any kind.
  • Wizmatic makes no guarantees regarding the accuracy, completeness, or suitability of the data.
  • We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform.

7. Confidentiality

Both parties shall treat proprietary information as confidential and not disclose it to third parties without consent, except as required by law.

8. Termination

  • These Terms apply as long as you use the Platform. Either party may terminate with written notice.
  • No refunds will be provided for early termination.
  • Post-termination, Wizmatic reserves the right to delete user data.

9. Governing Law & Dispute Resolution

  • These Terms shall be governed by the laws of India, with exclusive jurisdiction in Pune courts.
  • Neither party shall be liable for performance failures due to force majeure events.

10. Miscellaneous

  • Modifications: Wizmatic may update these Terms; continued use implies acceptance.
  • Severability: If any provision is found invalid, the remaining Terms remain in effect.
  • Waiver: No failure to enforce rights shall be considered a waiver of those rights.
  • Third-Party Links: We are not responsible for external sites linked from our Platform.
